These Terms of Service ("Agreement") govern your access to and use of AI Desk's platform, services, and related software provided by Rocketship Pte. Ltd., trading as AI Desk ("Company," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by this Agreement.

1. Service Description and Eligibility
1.1 AI Desk Platform
AI Desk provides a Software-as-a-Service (SaaS) platform that enables businesses to deploy AI-powered customer support agents, automate lead capture, manage customer conversations, and integrate with business workflows. Our Services include:
- AI agent creation and configuration tools
- Knowledge base training and management
- Website chat widgets and full-page chat experiences
- Human escalation and inbox management systems
- Analytics, reporting, and performance monitoring
- Third-party integrations
1.2 Eligibility Requirements
- You must be at least 18 years old and legally capable of entering contracts
- If using Services for business purposes, you have authority to bind your organization
- You must provide accurate registration information and maintain account security
- Your use must comply with all applicable laws and regulations
2. Account Registration and Security
2.1 Account Creation
You must create an account to access our Services. You agree to provide accurate, complete, and current information during registration and to update this information to maintain accuracy.
2.2 Account Security
- You are responsible for maintaining the confidentiality of your login credentials
- You must notify us immediately of any unauthorized use of your account
- You are liable for all activities occurring under your account
- We recommend enabling two-factor authentication for enhanced security
3. Subscription Plans and Billing
3.1 Subscription Plans
We offer multiple subscription tiers (Free, Basic, Pro, Business, Enterprise) with varying features, usage limits, and pricing. Plan details are available on our pricing page and may be updated periodically.
3.2 Billing and Payment
- Subscription fees are charged monthly or annually based on your selected plan
- All fees are due in advance and non-refundable except as required by law
- We use Stripe for secure payment processing
- Failed payments may result in service suspension or termination
- Price changes will be communicated at least 30 days in advance
3.3 Usage Limits and Overages
- Each plan includes specific limits on AI agents, message credits, and features
- Exceeding plan limits may result in service restrictions or upgrade requirements
- Add-ons are available to extend capacity beyond plan limits
- Enterprise customers may have custom usage terms
3.4 Plan Changes and Cancellation
- You may upgrade your plan at any time with immediate effect and prorated billing
- Downgrades take effect at the next billing cycle
- You may cancel your subscription at any time through your account dashboard
- Cancellation stops future billing but does not provide refunds for current periods
4. Acceptable Use Policy
4.1 Permitted Uses
- Deploy AI agents for legitimate customer support and business purposes
- Automate lead capture and qualification within your business operations
- Integrate with your existing business systems and workflows
- Train AI agents with your proprietary business content and knowledge
4.2 Prohibited Activities
- Use our Services for any illegal, harmful, or fraudulent purposes
- Attempt to reverse engineer, decompile, or extract our proprietary technology
- Create AI agents that impersonate real individuals without clear disclosure
- Deploy agents that generate spam, harassment, or inappropriate content
- Circumvent usage limits, security measures, or access controls
- Use our platform to compete directly with our Services
- Upload malicious code, viruses, or other harmful content
- Violate any third-party rights, including intellectual property rights
4.3 Content Standards
All content uploaded to train AI agents must be appropriate for business use and comply with applicable laws. You are responsible for ensuring content accuracy and maintaining appropriate disclaimers for AI-generated responses.
5. Data Rights and Responsibilities
5.1 Your Data Ownership
You retain ownership of all content, data, and information you provide to our platform ("Customer Data"). This includes training materials, conversation logs, and business information used to configure AI agents.
5.2 License to Process Data
By using our Services, you grant us a limited, non-exclusive license to process your Customer Data solely for the purpose of providing and improving our Services, including:
- Training and operating your AI agents
- Providing customer support and technical assistance
- Generating analytics and performance reports
- Improving our platform functionality and security
5.3 Data Processing Compliance
- You are responsible for ensuring you have proper rights to all uploaded content
- You must comply with privacy laws governing your end-users' data
- You warrant that your use of our Services does not violate any data protection regulations
- For GDPR compliance, our Data Processing Addendum applies to European data
5.4 Website Scraping Responsibilities
When using our website scraping features, you represent that you have the legal right to access and use the scraped content. You are solely responsible for compliance with website terms of service and applicable laws.
6. AI Services and Limitations
6.1 AI Technology Disclaimers
- AI responses are generated based on training data and may not always be accurate
- You are responsible for monitoring AI agent behavior and responses
- Critical business decisions should not rely solely on AI-generated information
- AI agents should not provide professional advice (legal, medical, financial) without proper disclaimers
6.2 Human Escalation
Our platform includes human escalation features for complex inquiries. You are responsible for ensuring adequate human oversight and response to escalated conversations.
6.3 Service Availability
While we strive for 99.9% uptime, we cannot guarantee uninterrupted service. Planned maintenance will be communicated in advance when possible.
7. Intellectual Property Rights
7.1 Our Intellectual Property
AI Desk platform, technology, software, and documentation are protected by intellectual property laws. We retain all rights not expressly granted to you.
7.2 Customer Content
You retain ownership of your original content while granting us necessary rights to provide our Services. We do not claim ownership of your business data or trained AI models.
7.3 Feedback and Suggestions
Any feedback, suggestions, or ideas you provide about our Services may be used by us without compensation or attribution.
8. Privacy and Data Protection
Our data collection and processing practices are governed by our Privacy Policy, which forms an integral part of this Agreement. By using our Services, you also agree to our Privacy Policy.
9. Disclaimers and Limitation of Liability
9.1 Service Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI DESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.
9.3 Liability Cap
Our total liability for all claims related to the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
10. Indemnification
You agree to indemnify, defend, and hold harmless AI Desk from any claims, damages, or expenses arising from your use of the Services, violation of this Agreement, or infringement of third-party rights.
11. Term and Termination
11.1 Term
This Agreement remains in effect while you use our Services or maintain an account with us.
11.2 Termination by You
You may terminate this Agreement at any time by canceling your subscription and deleting your account through the platform settings.
11.3 Termination by Us
We may suspend or terminate your access immediately for violations of this Agreement, non-payment, or other business reasons with appropriate notice when possible.
11.4 Effect of Termination
- Access to Services will cease immediately upon termination
- You remain responsible for any outstanding fees
- We will retain your data for 90 days to allow account restoration
- Provisions regarding liability, indemnification, and dispute resolution survive termination
12. Dispute Resolution and Governing Law
12.1 Governing Law
This Agreement is governed by the laws of Singapore, without regard to conflict of law principles.
12.2 Dispute Resolution
Any disputes arising from this Agreement shall be resolved through binding arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC), except for claims seeking injunctive relief.
12.3 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
13. Changes to Terms
We may modify these Terms periodically. Material changes will be communicated via email or platform notifications at least 30 days before taking effect. Continued use of our Services after changes constitutes acceptance of the updated Terms.
14. General Provisions
Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and AI Desk.
Severability: If any provision is found unenforceable, the remainder of this Agreement remains in effect.
Assignment: You may not assign this Agreement without our written consent. We may assign our rights and obligations freely.
Force Majeure: Neither party is liable for delays or failures due to circumstances beyond reasonable control.
